These Terms and Conditions (“Terms”) govern your access to and use of the websites, online stores, courses, educational programs, webinars, digital materials, communities, accounts, products, services, and other offerings provided by Biome Learning Center LLC (“Biome Learning Center,” “we,” “us,” or “our”), collectively referred to as the “Services.”

Our Services may be provided through websites operated by us or through third-party platforms, including WordPress, Shopify, Circle, and other technology providers.

Please read these Terms carefully. By accessing, registering for, purchasing from, or otherwise using any of our Services, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you should not use the Services.

1. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction to purchase or register for our Services.

Certain courses, programs, products, or Services may have additional eligibility requirements that will be disclosed when applicable.

Biome Learning Center provides educational content, courses, webinars, programs, communities, digital materials, events, products, and other resources.

Some Services may be offered directly through our websites, while others may be delivered through third-party platforms.

We reserve the right to modify, update, suspend, discontinue, replace, or change any portion of the Services at any time, subject to applicable law and any contractual obligations we have to you.

Descriptions, schedules, instructors, speakers, course materials, product availability, features, and other aspects of our Services may change from time to time.

3. Educational and Medical Disclaimer

Biome Learning Center provides educational and informational content.

Unless expressly stated otherwise, content made available through our websites, courses, webinars, educational programs, communities, videos, presentations, downloadable materials, communications, products, or other Services is provided for educational and informational purposes only.

Nothing provided through the Services is intended to constitute or substitute for individualized medical advice, diagnosis, treatment, prescribing, or other professional healthcare services.

Information provided through the Services should not be used as a substitute for consultation with an appropriately qualified healthcare professional regarding an individual’s specific circumstances.

Never disregard professional medical advice or delay seeking professional medical care because of information obtained through Biome Learning Center.

If you believe you may be experiencing a medical emergency, seek appropriate emergency medical assistance.

4. Healthcare Professionals

Certain Biome Learning Center Services may be designed for physicians, nurses, pharmacists, dietitians, nutrition professionals, naturopathic doctors, health coaches, other healthcare professionals, or individuals working within healthcare or wellness-related fields.

Participation in a Biome Learning Center course or program does not expand a participant’s legally permitted scope of practice.

Healthcare professionals remain solely responsible for:

  • Exercising their own independent professional judgment;
  • Practicing within their applicable scope of practice;
  • Maintaining required licenses, certifications, and credentials;
  • Complying with applicable professional standards and laws;
  • Evaluating the appropriateness of information for individual patients or clients; and
  • Making their own clinical, diagnostic, prescribing, or treatment decisions.

Biome Learning Center does not establish a healthcare provider-patient relationship through the provision of educational content.

5. No Guaranteed Results

Educational information, case examples, research discussions, testimonials, instructor experiences, or other information presented through our Services do not guarantee any particular clinical, health, professional, educational, financial, or business outcome.

Individual results and experiences vary.

References to scientific studies or research are provided for educational purposes and should be evaluated in the context of the underlying research, its limitations, and the totality of available evidence.

6. Accounts and Registration

Certain Services may require you to register, create an account, or provide information.

You agree to provide accurate, current, and complete information and to update your information when reasonably necessary.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

You may not:

  • Share your account or login credentials with unauthorized individuals;
  • Allow multiple people to use an individual account unless expressly permitted;
  • Sell, transfer, sublicense, or assign your account;
  • Use another person’s account without authorization; or
  • Attempt to circumvent account, enrollment, or access restrictions.

Please notify us promptly if you believe your account has been accessed without authorization.

7. Circle and Community Services

Biome Learning Center may use third-party platforms, including Circle, to provide courses, communities, discussions, member experiences, educational materials, and related Services.

Your use of Circle or another third-party platform may also be governed by that provider’s applicable terms and privacy policies.

Participation in our communities requires respectful and professional conduct.

You may not use a Biome Learning Center community to:

  • Harass, threaten, intimidate, or abuse another person;
  • Publish unlawful, defamatory, obscene, or intentionally harmful material;
  • Violate another person’s privacy;
  • Share confidential patient, client, or personally identifiable information without appropriate authorization;
  • Infringe intellectual property rights;
  • Distribute spam or unauthorized advertising;
  • Solicit members for unrelated commercial purposes without our permission;
  • Upload malicious software or harmful code;
  • Misrepresent your identity, qualifications, or affiliation; or
  • Engage in conduct that materially interferes with the community or Services.

We reserve the right to moderate communities and to remove content or restrict, suspend, or terminate access when reasonably necessary to enforce these Terms, protect users, or maintain the integrity of the community.

8. Patient and Client Information

Healthcare professionals and other users should not submit identifiable patient or client information through Biome Learning Center Services unless specifically authorized and appropriate safeguards have been established.

When discussing clinical examples in community areas, courses, webinars, or other interactive Services, users are responsible for complying with applicable privacy, confidentiality, and professional requirements.

Do not assume that a Biome Learning Center community, comment section, webinar, or general communication channel is appropriate for transmitting protected health information or other sensitive personal information.

9. Course and Digital Content License

Unless otherwise stated in writing, when you purchase or receive access to a course, program, webinar recording, presentation, document, video, graphic, protocol, worksheet, guide, or other educational material, you receive a limited, personal, non-exclusive, non-transferable, revocable license to access and use that material for your own lawful educational purposes.

Purchasing access does not transfer ownership of the underlying intellectual property to you.

Unless we expressly authorize it in writing, you may not:

  • Copy or reproduce course materials for distribution;
  • Share course materials with unauthorized individuals;
  • Share login credentials;
  • Record, screen-record, photograph, reproduce, or redistribute protected course content;
  • Upload our materials to another website, platform, course, database, artificial intelligence system, file-sharing service, or public repository;
  • Sell, sublicense, rent, or commercially distribute our materials;
  • Create substantially derivative courses or commercial materials from our protected content;
  • Remove copyright, trademark, attribution, or proprietary notices;
  • Present our materials as your own work; or
  • Use our intellectual property in a manner that suggests our endorsement without written permission.

Permitted personal use does not include redistribution to employees, colleagues, patients, clients, students, members, or other third parties unless the applicable product or license specifically allows such use.

10. Certificates and Educational Credentials

Biome Learning Center may issue certificates of completion or other acknowledgments for certain educational programs.

Unless expressly stated otherwise, a certificate issued by Biome Learning Center represents completion of the requirements established by Biome Learning Center for that particular program.

A certificate of completion does not, by itself:

  • Constitute a professional license;
  • Grant authority to diagnose, treat, or prescribe;
  • Expand a participant’s legal scope of practice;
  • Represent governmental licensure;
  • Represent board certification; or
  • Guarantee recognition by an employer, licensing authority, professional association, educational institution, or other organization.

Participants are responsible for determining whether a particular course or certificate satisfies their individual professional, licensing, continuing education, or regulatory requirements.

11. Intellectual Property

The Services and their contents, including text, course materials, curricula, presentations, videos, recordings, graphics, photographs, illustrations, designs, logos, trademarks, trade names, downloads, documents, protocols, software, website design, and other materials, are owned by or licensed to Biome Learning Center and are protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no intellectual property rights are transferred to you.

12. User Content

Certain Services may permit you to submit comments, questions, posts, feedback, images, reviews, or other content (“User Content”).

You retain ownership of rights you have in your User Content.

By submitting User Content through an interactive portion of our Services, you grant Biome Learning Center a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and otherwise use that content as reasonably necessary to operate, moderate, provide, and improve the applicable Service.

You represent that you have the rights necessary to submit the User Content and that your submission does not violate applicable law or the rights of another person.

We may remove User Content that violates these Terms or that we reasonably determine is inappropriate for the applicable Service.

13. Feedback

If you voluntarily provide suggestions, ideas, recommendations, or other feedback regarding Biome Learning Center or our Services, you agree that we may use that feedback to improve or develop our Services without compensation or obligation to you.

This provision does not transfer ownership of your personal information or override our Privacy Policy.

14. Purchases and Ecommerce

Certain products and Services may be purchased through The Biome Learning Center Shop, which is powered by Shopify.

Purchases may be subject to additional terms, policies, product descriptions, shipping terms, return/refund policies, subscription terms, or other conditions displayed through the store at the time of purchase.

You agree to provide current, complete, and accurate purchase and account information for transactions.

We reserve the right, subject to applicable law, to refuse, cancel, or limit orders when reasonably necessary, including in cases involving suspected fraud, pricing errors, inventory issues, unauthorized resale, or violations of applicable policies.

Payment information submitted through our ecommerce Services may be processed by Shopify or other third-party payment processors.

15. Pricing and Payment

Prices are displayed in the applicable Service and may change from time to time.

Unless otherwise indicated, applicable taxes, shipping charges, or other fees may be added to the displayed price.

You agree to pay all charges associated with purchases you authorize.

If an obvious pricing or description error occurs, we reserve the right to correct the error and, where permitted by law, cancel the affected transaction and provide an appropriate refund.

16. Refunds, Returns, and Cancellations

Refunds, returns, exchanges, and cancellations are governed by the policy presented with the applicable product, course, program, event, or Service at the time of purchase.

Physical products purchased through The Biome Learning Center Shop may be subject to a separate return or refund policy.

Digital courses, downloadable materials, recordings, live programs, memberships, events, or other educational Services may have different cancellation or refund conditions because of the nature and timing of access.

Please review the applicable terms before purchasing.

Nothing in these Terms limits any non-waivable refund, cancellation, or consumer rights provided by applicable law.

17. Course and Program Changes

We may occasionally need to modify:

  • Course schedules;
  • Webinar dates or times;
  • Speakers or instructors;
  • Program content;
  • Course modules;
  • Delivery methods;
  • Platform availability; or
  • Other program details.

We will make reasonable efforts to communicate material changes when appropriate.

If we cancel a paid program entirely and do not provide a reasonable substitute or alternative access, we will address the affected purchase in accordance with the applicable refund/cancellation policy and law.

18. Third-Party Platforms and Services

Our Services may depend on or integrate with third-party providers, including website hosting companies, Shopify, Circle, payment processors, video providers, email and SMS providers, analytics services, and other technology vendors.

We do not control all aspects of third-party services and cannot guarantee their uninterrupted availability.

Your use of third-party services may be governed by their own terms, conditions, and privacy policies.

To the extent permitted by law, Biome Learning Center is not responsible for outages, acts, omissions, security practices, content, or independent actions of third-party services outside our reasonable control.

Our Services may contain links to websites, research, articles, resources, products, or platforms operated by third parties.

Links are generally provided for convenience or educational purposes and do not necessarily constitute endorsement.

We are not responsible for the content, accuracy, availability, security, privacy practices, or policies of third-party websites.

You access third-party websites at your own discretion.

20. Acceptable Use

You agree to use the Services only for lawful purposes.

  • Attempt to gain unauthorized access to our Services or systems;
  • Interfere with website or platform functionality;
  • Introduce viruses, malware, or harmful code;

By using our Services or communicating with us electronically, you consent to receive transactional and administrative communications electronically where permitted by law.

If you separately consent to marketing emails or SMS/text messages, those communications will be governed by the applicable consent and opt-out requirements.

You may unsubscribe from promotional emails using the unsubscribe mechanism provided in the message.

Where applicable, you may opt out of promotional SMS/text messages using the instructions contained in those messages, such as replying STOP.

Opting out of promotional communications does not prevent us from sending necessary transactional or administrative messages regarding purchases, accounts, registrations, or Services.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

BIOME LEARNING CENTER MAKES NO GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY USER OR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIOME LEARNING CENTER LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

THIS MAY INCLUDE LOSS OF DATA, REVENUE, PROFITS, BUSINESS OPPORTUNITY, OR GOODWILL, TO THE EXTENT SUCH DAMAGES MAY LAWFULLY BE LIMITED.

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Biome Learning Center LLC and its officers, directors, employees, contractors, affiliates, and agents from claims, damages, liabilities, losses, and reasonable costs arising from:

  • Your unlawful use of the Services;
  • Your material violation of these Terms;
  • User Content you submit;
  • Your infringement of another person’s rights; or
  • Your violation of applicable law.

This section does not require you to indemnify a party for conduct for which indemnification cannot lawfully be required.

26. Suspension and Termination

We may restrict, suspend, or terminate access to some or all Services when reasonably necessary because:

  • You materially violate these Terms;
  • You engage in fraudulent or unlawful activity;
  • You misuse or redistribute protected content;
  • You share account access without authorization;
  • Your conduct threatens the security or operation of the Services;
  • Your conduct materially disrupts a community;
  • Required fees remain unpaid; or
  • We are required to do so by law.

Where appropriate, we may provide notice or an opportunity to cure a violation before terminating access.

Serious, fraudulent, unlawful, dangerous, or intentional violations may result in immediate action.

Termination does not eliminate payment obligations or other obligations that accrued before termination.

Provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions that by their nature should survive will remain effective following termination.

27. Force Majeure

We will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, epidemic or pandemic, war, civil unrest, governmental action, labor disputes, telecommunications failures, internet outages, utility failures, cyber incidents affecting third-party providers, transportation disruptions, or failures of third-party platforms or service providers.

28. Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, business practices, technologies, or applicable legal or regulatory requirements.

When we update these Terms, we will post the revised version and update the “Last Updated” date.

Where required by applicable law, we will provide additional notice regarding material changes.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

29. Governing Law

These Terms and disputes relating to these Terms or the Services will be governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute-resolution, arbitration, venue, or class-action-waiver provisions adopted by Biome Learning Center should be interpreted consistently with applicable law.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms or policies expressly applicable to a particular product or Service, constitute the agreement between you and Biome Learning Center regarding your use of the applicable Services.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision later.

Assignment

You may not assign your rights or obligations under these Terms without our written consent.

We may assign our rights and obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction, subject to applicable law.

Section headings are provided for convenience and do not alter the meaning of these Terms.

31. California Consumer Notice

California consumers may have specific rights under California law.

California residents may contact us using the information below regarding questions or concerns about the Services.

Nothing in these Terms limits rights provided to California consumers that cannot lawfully be waived.
